Who we are
Kove (Kove AI) is a Dutch general partnership (VOF) based in Amsterdam, Netherlands. Registered with the Dutch Chamber of Commerce under KVK number 42166193. Contact: hello@kove-ai.com.
1. Business services and agreement
These terms apply, when incorporated into an agreement, to business-to-business consulting, implementation, training and ongoing support. An engagement starts only when Kove and the client accept a written proposal or statement of work. Website descriptions and indicative prices are invitations to discuss a project, not a binding offer. Kove will provide the applicable terms in a form the client can retain before the agreement is concluded.
Each customer’s engagement and method of acceptance are agreed individually and recorded in writing. The accepted proposal or statement of work sets scope, deliverables, assumptions, timetable and fees. Specific written terms take precedence over these general terms where they conflict. A data-processing agreement takes precedence for the processing it governs. Mandatory rights remain unaffected. These terms cover business engagements; any downloadable digital products require their own applicable purchase and licence terms.
2. Scope and client cooperation
Kove will perform the agreed work with reasonable professional care and skill. The client provides timely access to authorised systems, accurate source information and an available decision-maker. Both parties agree the permitted data and intended use before work begins. The client remains responsible for the lawfulness of sharing its data and granting access.
Kove enables the client to use its own data, tools and systems more effectively. The client retains ownership or the applicable licence rights and administrative control over those resources. Kove is not the client’s data host, archive, backup provider or system operator. The client maintains its licences, access permissions, source records, backups and recovery arrangements. Any access given to Kove is limited to the agreed work and must be removed when no longer required.
If missing inputs, data quality, additional requirements or third-party restrictions affect delivery, Kove will explain the impact. Scope, fees or timing change only through written agreement. Work outside the agreed scope is not automatically included in a fixed fee.
3. Fees, licences and payment
The proposal identifies the currency, applicable taxes, fee, payment dates and any agreed expenses. Website prices are indicative and exclusive of applicable taxes. The client contracts directly for and maintains its AI and other required third-party subscriptions and licences, subject to each provider’s terms. Those providers retain ownership of their products; Kove does not acquire ownership of the client’s accounts or systems. Kove does not add a markup to the client’s direct AI licence charges. Deposits, milestones, payment deadlines and the procedure for overdue invoices are specified in the accepted proposal. No additional charge is imposed solely by updating this website.
4. Delivery, review and correction
Delivery dates and dependencies are agreed for each project. Kove supplies the agreed outputs and handover materials. The client reviews them against the agreed acceptance criteria and reports material issues with enough detail to reproduce them. Kove will investigate and remedy work that materially fails the agreed scope within a reasonable period. New requirements are managed as scope changes.
The statement of work must identify the review period, acceptance criteria and any support period. Silence is not treated as automatic acceptance under these terms.
5. AI outputs and professional judgment
AI outputs may be incomplete or inaccurate. Calculations, source references and draft explanations need the review agreed for the workflow. The client retains responsibility for approving reports, payments, filings and operational decisions. Kove’s services do not constitute an audit, statutory assurance, legal advice, tax advice or regulated investment advice unless expressly covered by a separate lawful engagement. No specific saving, financial outcome or uninterrupted third-party service is guaranteed.
6. Deliverables and intellectual property
The client retains ownership of its data and materials. Once the agreed fees are paid, the client owns the bespoke deliverables expressly created for it, to the extent those rights can be transferred. Kove retains pre-existing methods, generic know-how and reusable tools. Where these are incorporated into a paid deliverable, the client receives a perpetual, non-exclusive right to use and adapt them as needed to use that deliverable for its business. Third-party materials remain subject to their own licences.
Kove will identify material third-party restrictions before delivery. Client confidential information may not be reused in another engagement. Any broader resale or distribution rights must be expressly agreed in writing.
7. Confidentiality and data protection
Each party protects the other’s confidential information, uses it only for the engagement, and restricts access to those who need it under appropriate duties. This does not cover information that is public without breach, already lawfully known, independently developed or lawfully obtained from another source. Legally required disclosure is limited to what is required, with prior notice where permitted.
Confidential client datasets are used within client-controlled systems. Kove does not provide hosting or retain confidential client datasets in its own storage. If a dataset is inadvertently received or copied into Kove-controlled storage, Kove must immediately delete that copy on receipt or discovery and continue the work within the agreed client environment. Kove does not reuse these datasets for other customers or to train models. This does not authorise deletion of the client’s source records or change a provider’s independent retention obligations.
Only the minimum business contact, contract, invoice and compliance records necessary to administer the engagement are retained, under confidentiality duties and applicable retention requirements. If law requires particular information to be preserved, access is restricted, it is used only for that obligation, and it is deleted when preservation is no longer required.
Before Kove processes personal data on the client’s behalf, the parties must agree a suitable data-processing agreement. It must address instructions, security, approved subprocessors, processing locations, incidents, assistance, and return or deletion. Live client-data processing must follow the agreed EU-location requirement. Access must use agreed secure methods and client-managed permissions. Confidential datasets must not be sent to Kove’s general email, document storage or project-management tools. Accessing personal data in client systems can still constitute processing and does not remove the need for an appropriate data-processing agreement.
8. Third-party services
Third-party products remain subject to their own terms, availability and pricing. Kove is responsible for its own agreed services and will communicate known material dependencies. Provider changes may require the parties to agree revisions to the workflow. Additional work is scoped before it is charged.
9. Ending or pausing an engagement
The proposal specifies the initial term, any renewal, notice period and cancellation arrangements, including payment for completed work and approved commitments. Either party may raise a material breach in writing and allow a reasonable opportunity to remedy it where remedy is possible. Applicable legal termination rights remain available. On ending, the parties arrange handover within client systems and remove Kove’s access. The immediate-deletion rule for copies of confidential client datasets applies throughout the engagement, not only at its end.
10. Liability and disputes
The client is responsible for the accuracy and lawful use of its source data, its own systems and licences, backups, and the business decisions it approves. Kove does not assume those responsibilities merely by advising on or configuring a workflow. Kove does not guarantee third-party availability, security, retention or AI output accuracy. Kove remains responsible for performing its own agreed work with reasonable professional care and skill and for its own confidentiality and data-protection obligations.
Each party is responsible for its obligations under applicable law. Any limitation of liability must be expressly set out in the accepted agreement. Nothing in these terms excludes or limits liability where doing so is prohibited by applicable law.
The parties will first seek to resolve a dispute through their named contacts. The signed agreement identifies the governing law and any agreed court or alternative dispute-resolution procedure, subject to mandatory law.
11. Changes and contact
The version supplied and accepted for an engagement applies to that engagement. Updating this website does not itself change an existing agreement. Agreed changes must be recorded in writing. Questions: hello@kove-ai.com.
